Service Levels
Mesh Standard Service Levels
Mesh Digital Services, Inc.
Effective Date: October 30, 2026
Security of Entity Information
Mesh shall (i) establish and maintain appropriate technical and organizational measures to protect against accidental damage to, or destruction, loss, or alteration of, Entity Information; (ii) establish and maintain appropriate technical and organizational measures to protect against unauthorized access to the Entity Information; and (iii) establish and maintain network and Internet security procedures, protocols, security gateways and firewalls with respect to the Solution.
Uptime Commitment
Mesh will use commercially reasonable efforts to ensure System Availability at least 99% of the time, as measured monthly, subject to the exclusions set forth below and also excluding scheduled downtime and any time necessary to implement any updates, upgrades or other modifications to the Solution (“Uptime Commitment”). Mesh will notify Customer at least twenty-four (24) hours prior to any scheduled downtime and will use commercially reasonable efforts to minimize the effect of such maintenance on the Solution.
Key Definitions
The following definitions and calculations will apply with respect to the calculation of service levels.
“System Availability” means that the Solution is available to Customer, and will be calculated on a monthly basis using this formula, expressed as a percentage: 100% - [Monthly Downtime / Total Scheduled Availability]
“Monthly Downtime” means the number of 1-minute intervals that the Solution is Unavailable in a monthly cycle, summed across all Users in Customer’s organization.
“Unavailable” means that the Solution is unresponsive or returns an error in an attempt to run a valid verification request on one or more Entities. The term “Unavailable” excludes all other issues, including any issues resulting directly or indirectly from any SLA Exclusions.
“User” means a user account with access to the Mesh Solution. For the purpose of System Availability calculations, access to the Mesh API is computed as one user.
“Total Scheduled Availability” means the total number of 1-minute intervals in the month, multiplied by the number of Users in Customer’s organization.
SLA Exclusions
The Uptime Commitment shall not apply in the event of any causes beyond the control of Mesh or its hosting provider, including, without limitation: interruption or failure of telecommunication or digital transmission links; hostile network attacks; network congestion; denial of service attacks; failure of the Internet generally; any actions or inactions of Customer or any third party; Force Majeure Events; downtime due to a government or other third-party database, website, data or API being unresponsive; issues that result from Customer’s equipment, software or other technology; and issues that result from attempts of prohibited or unlawful use of the Solution. If a User does not make any requests in a given 1-minute interval, that interval is assumed to have no downtime.
“Force Majeure Event” refers to any failure or delay caused by or the result of causes beyond the reasonable control of a party and could not have been avoided or corrected through the exercise of reasonable diligence, including, but not limited to, acts of fire, flood, hurricane or other natural catastrophe, terrorist actions, laws, orders, regulations, directions or actions of governmental authorities having jurisdiction over the subject matter hereof, or any civil or military authority, national emergency, insurrection, riot or war, pandemic or other similar occurrence.
SLA Credits
If the System Availability during any given month falls below the Uptime Commitment, Mesh will provide Customer with a credit (an “SLA Credit”) corresponding to the System Availability level set forth in the table below. The SLA Credit will be calculated in U.S. dollars and will be equal to the SLA Credit percentage multiplied by the monthly fee for the month in which the service level failure occurred. Any SLA Credit will apply to subsequent invoices submitted to Customer under the Agreement.
| System Availability | SLA Credit |
|---|---|
| Less than 99.0% but greater than or equal to 96.5% | 10% |
| Less than 96.5% but greater than or equal to 95.0% | 25% |
